Terms of Use

1. Acceptance

By applying for, accessing, or using the Bubex platform (bubex.io), you agree to be bound by these Terms of Use. If you do not agree, you must not use the platform. We reserve the right to update these Terms at any time; continued use after notice of a change constitutes acceptance.

2. Nature of the service

Bubex is an introduction network — a private, members-only directory that facilitates connections between potential buyers and sellers of secondary market instruments (private company shares, SPV interests, LP stakes, and related assets). Bubex is not a broker-dealer, investment adviser, placement agent, transfer agent, or financial intermediary of any kind. Bubex does not participate in, negotiate, structure, execute, clear, or settle any transaction between members.

3. Eligibility

Access is restricted to professional investors, qualified/accredited investors, and other sophisticated market participants as defined by the laws of their jurisdiction. By using the platform you represent and warrant that: (a) you meet the eligibility requirements of your jurisdiction; (b) you have the legal capacity to enter into these Terms; and (c) you are not prohibited from using the platform by any applicable law or regulation.

4. Membership and access

Membership is by application only. Bubex reserves the right to approve, refuse, suspend, or revoke access at any time, with or without cause, and without liability. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5. Deal listings and information

Deal listings and all information on the platform are posted by members. Bubex does not verify, audit, or warrant the accuracy, completeness, or legality of any listing. Members are solely responsible for the content they post and for ensuring it complies with applicable law, including securities regulations, transfer restrictions on private shares, and ROFR (right of first refusal) obligations. You must not post material non-public information (MNPI).

6. Confidentiality and NDA

Before any member identity is revealed, both parties are required to execute a mutual non-disclosure agreement through the platform. You agree to honor the terms of any NDA you sign and not to disclose the identity, deal terms, or participation of other members to any third party.

7. No commission, no brokerage

Bubex charges a membership or subscription fee for access to the platform. Bubex does not charge transaction commissions and does not act as an intermediary in any transaction. Any fees paid to Bubex are for platform access only and are not contingent on or related to the completion of any deal.

8. Prohibited conduct

You must not:

• —Post false, misleading, or fraudulent information.
• —Use the platform to conduct or facilitate unregistered securities offerings or brokerage activity.
• —Disclose MNPI or use the platform in a manner that constitutes insider trading.
• —Scrape, copy, or redistribute platform content without written consent.
• —Attempt to reverse engineer, circumvent security measures, or gain unauthorized access to any part of the platform.
• —Use the platform for any purpose that violates applicable law or regulation.

9. No investment advice

Nothing on the platform constitutes financial, legal, tax, or investment advice. Company information, valuation figures, and deal data are provided for informational purposes only. You are solely responsible for your investment decisions and must conduct your own due diligence.

10. Intellectual property

All content on the platform produced by Bubex — including design, copy, software, and databases — is protected by copyright and other intellectual property rights. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for its intended purpose. Member-posted content remains the property of the posting member; by submitting it you grant Bubex a license to display it on the platform.

11. Limitation of liability

To the maximum extent permitted by law, Bubex and its operators shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from: your use of or inability to use the platform; any introduction made through the platform; any deal, whether completed or not; or any reliance on information posted by members. Total liability shall not exceed the fees paid by you to Bubex in the 12 months preceding the claim.

12. Termination

Bubex may suspend or terminate your access at any time for any reason, including but not limited to breach of these Terms, suspicious activity, or regulatory considerations. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (confidentiality, limitation of liability, governing law) will do so.

13. Governing law and disputes

These Terms are governed by French law. Any dispute arising from or relating to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of Paris, France, unless mandatory consumer protection law in your jurisdiction requires otherwise.
